Why on a modern/new system would you not choose Vista 64bit?

I assume at least it runs a bit faster?

You wouldn't, unless there is some obscure software/hardware critical to your PC usage that doesn't work in 64-bit.

4gb minimum for x64 imo..

The only real use of the 32bit platform would be certain hardware/software or peripherals that would only work on the 32bit platform.

Primarily that you get to use more memory.

I thought Valve's source engine could use 64bit?

It can, and does on HL2, other Source titles are being 64bit enabled in due course.
