As stulid says all the comparisons on features are there, also UD5 has 20 power phases, UD3P has 14 and UD3 has 7 in total minus your phases for memory ect.

More power phases are important for overclocking as it allows better efficiency and clean stable power.

Currently the Retail is £6 more than the oem, so you gain

• 3 vs 1 year warranty
• Shiny box
• Heatsink+fan

The last two will be good if you sell the chip on and keep the aftermarket heatsink. the new owner could then have an unused intel heatsink:)
