Im quite surprised you have a lot of rust on your E46? They really shouldn't be rusty at a decade old!!

This is specifically an Upgrade to a BMW no other car... Clue is in the title

Fix the rust, simples. If your buying a newer car because of some surface rust, that's no better than buying a new car because of lower VED.

If it's rotting from the inside out, that's different.
