Need a bit of help with the wording of a contract.

The wording at the moment
XXX acknowledges and agrees that all Intellectual Property (including without limitation the format, content and details of the survey and any subsequent data) remains the sole intellectual property of YYY and YYY and such content cannot be used other than in accordance with the views and agreement of YYY and YYY.

XXX may not copy the Product in its own business, by its own employees or bona fide advisers and for its own account but for no other purpose whatsoever.

Now I think that is quite limiting to me if I sign it as I know there are other companies out there that do the same thing, with more or less the same questions for other parts of the country.

So basically the product is they give me some questions and I make an Online survey with them and give them all the data back.

What I want it to be like is I can do surveys for other people using similar questions and if in the future I wanted to move in that direction I could.

Does this make sense?

If the legal advice that you want is important, get a solicitor. Only if you don't care about the result should you aim for the opinions of a computer forum.

It makes perfect sense, they are clearly stating that any survey you make for them, cannot be used, or modified for use again for someone else, nor can you use the data you collect for any other purpose.
You are designing and deploying something for them, and them alone, and that is where they want it to stay.
