hes fine tbh the kid didnt hurt him , my mate did well not to strike back think it would have had a total different outcome.
yeah the sell is best but its finding someone to buy it a company he used to work for has offered him a really good job i told him to take it

True, however for any business transaction to end up in punches thrown whatever the circumstance is pretty damn extreme.


Tough decision for the op's friend now though. If he's been offered a job, it's the decision of whether to accept and neglect the business and therefore reduce value of any sale, or lose out on a good long term stable employment. Guess the factors would be around business value, but you'd think if it's sustaining 2 people it's likely a reasonable size and sounds like there's potential for growth. Just depends how much interaction you want with the other guy as if he's being awkward now, it'll get worse as negotiations come into it.
 
The company only has 2 top guys 1 other member of staff and 3 labourers, I worked with them for 2 years having worked with them both , I can tell you it was never going to work , 40 % made bad desicions all the time 60 % let it happen and complained.
They have had many massive arguments over the years but things have gotten a lot worse.

It was bound to happen but didn't think it would be this soon or come to the outcome of yesterday sad really
 
Get him to check articles/shareholders agreement for good/bad leaver provisions. He could go for dismissal due to gross misconduct and force a mandatory share transfer for next to nothing depending how they were written up. Hopefully its not just model articles!
 
Was it a drive tarmacking company? or did they sell dags?

60/40 is a bad idea as a split. It's painful, the 40%er has a lot of skin in the game with zero control but feel like they do, and the 60%er can't control the company fully and force issues through effectively.

Been there, done that, never again, always retain 75% if you want to manage your own business.

It's irrelevant who owns what once the death match gauntlet is thrown down as in this case.

Winner takes all, loser gets buried in his own concrete.
