Seems like a good price but is it worth it?
 
Are you already on socket AM2? if so that's worth it if you are still on single core A64, if you are already on AM2 X2 then I wouldn't bother tbh instead I'd try and oc it further.

If you are deciding between AM2 or C2D I'd still go for C2D E6600+ as it has great oc potential - X2 6000+ is fast but 3Ghz stock speed leave you no/little room for overclock.

NVIDIA GeForce 6600

well old.. so anything is better
 
Since you'll be needing a new motherboard and RAM too, you'll be far better going for an Intel Core 2 Duo E6600.
