Assuming your PSU is the earthwatts 380W, that still has plenty of grunt with 2 12V rails at 17A.

I would say the immediate upgrade should be to 4GB RAM a new mobo and a new GFX with a plan to upgrade CPU later (or just OC it a bit more and leave it).

I would tend to agree with neon, the psu will be alright for the below spec, then just overclock that E4300 to +3Ghz which should be easily done on that board.

The 9800 is overspecified for the resolution of your monitor, it might work without the psu upgrade anyway as Antec are pretty solid supplies. An ati 4830 or 4850 would be enough at 1280 res on a 4x pcie v1 slot

to make much headway you need to change the mobo to something with a 16x pci-e 2 slot, do that before the psu change and you may get a few hz more out of the E4300 as well (though its doing you proud in the asrock)
