Best upgrade path

Hi, My motherboard has started to forget all the bios settings each time i restart or turn off my pc, the battery is fine and the cmos clear jumper is on correctly so i need a new one. Problem is that im still on a socket 478 and dont want to buy a full new system (agp gfx card and ddr1) but would like a bit more speed if possible as the cpu wont overclock without being unstable anymore. What would be the best upgrade path to keep my current gfx card and ram but gain a bit more speed?

Current specs are
Asus P4C800-E Deluxe
Geforce 6800gt
P4 2.53 533fsb
1gb corsair ddr ram in dual channel

I'd upgrade to a core 2 duo E6300 with a Asrock 775Dual-VSTA.
This motherboard has both a AGP and PCI-e slot and both DDR and DDR2 slots so you could upgrade in the future if you wanted to.

The motherboard isn't a great overclocker but you would see a huge performance increase with the E6300 at stock over the P4.
