CPU OEM / Retail quick question

Hey, is the only difference that the OEM version doesn't come with a cooler? I already have a CPU cooler but is there any other stuff they don't include that I may need?

What's the usual warranty date? And is it worth buying the retail over OEM? It would suck if I pay £170+ or something for an i5 and it breaks down on year 2.

Retail warranty on Intel is 3 years.

I usually work on anything more than £10 higher in price for retail I go with OEM.

CPUS failing tend to be rare.

Retail usually comes with the CPU, a cooler (Except socket 2011), a sticker to put on your case, thick instruction book and warranty.
