do i need a am3 cpu for ddr3 ram to work?

i brought a pair of new ddr3 ram to replace my ddr2 rams but my pc wont boot up. only lights and fans will run.
i came across a QVL on the net while searching for the problem. and checked my Motherboards memory QVL. the rams i have are not on the list but it says on each ddr3 category (ddr3 support with am3 cpu). does this mean i need a am3 CPU?

oh and lets say that is the case and Ive upgraded my cpu to AM3 will my new ram work even though its not on the QVL list?

i currently have AM2 CPU x64 5000+
Mobo: N68C-S UCC (combo MB has 2 ddr2 slots and 2 ddr3 slots)
new rams: corsair xms3 ddr3 CMX4GX3M2A1600C8 (the rare low CAS one 8-8-8-24)
