exFAT or NTFS?

I was wondering if it was worth converting my External Hard Drive into exFAT, and what would be the advantages?

Also, the same question for a 8GB Flash Drive.

Both will be used on Windows-based PCs

Difference between exFAT and FAT32

features of exFAT, quoted from Wikipedia:

* theoretical file size limit of 264 bytes (16 Exabytes), limit lifted from 232 bytes (4 Gigabytes)
* cluster size of up to 2255 bytes, implementation limit of 32MB
* free space allocation performance improved due to introduction of a free space bitmap
* support for more than 1000 files in a single directory
* support for access control lists
* support for Transaction-Safe FAT File System (TFAT) (optionally WinCE activated function)

I'm guessing things like digital camera and mp3 players are do support exFAT? Otherwise how would something make the full use of a 6gb microSD card?
