Final check spec

Hi all.

I my friend has £300 for cpu, mobo, ram and case.

I put together:
955
corsair dominator 2x2gb 1600mhz ram
silverstone PS02B

But im unsure about the mobo. Needs one pcie 2.0 x16 for his 9800gt. And needs to be able to overclock the CPU later when an aftermarket cooler is installed. Will the stock CPU cooler be fine before he overclocks?

Is it all compatible? Will he see much improvement in games as his using a pentium 4 @ 2.8GHz

The stock cooler is quite good as a freebie and I used it to overclock my 965 for a couple of months before I installed my water cooling.
