Folder permisions?

Morning guys.

I'm trying to find out how to set folder permisions within winodws xp professional sp2. I want to have a folder on the network, with a password so that only people of a certain gruop and who know the password can get into the folder.

Looked in help and supposrt on Windows. it shows me how but when i go to the location it says it is in, there's nothing to change..?

Is simple file sharing enabled?
If so, disable it in folder options.

if every xp won't let you make changes to the permissions for a particular folder, go into advanced and take ownership (in the owner tab).
