Is the 4870 Golden Sample a worthy upgrade from a MSI NX8800GT, its plays most games full, crysis with Natural Mod(so proud) even AoC, so will i get better performance or not with Nvidia PhysX drivers boosting the 8800 onwards?

4870 is a lot faster so definately worth it, even more so when AA's applied, and i wouldn't worry about the PhysX personally, as its hardly getting used at present, so by the time its worth having, ATi cards will probably have their PhsyX drivers.
