m/b with this memory

I'm thinking of getting this m/b Gigabyte GA_965P_DS3P with a E6600 cpu, first off is it a good combi? and second i can't afford the memory this month so was wondering will the memory i have already be fine with these 2, Corsair 1GB DDR2 XMS2-5400C4 TwinX.
What sort of speeds could i expect and will it be much faster than my current 3.4gb p4 with ht (800hz)

The mb and cpu combo is great. The ram you have now will be fine for your setup, but im not too sure if it will overclock that well if you plan to do it before you get your new ram. The E6600 will be miles better than your P4 3.4ghz.

The RAM should work no probs, I was using some generic 2x1gb 533MHz RAM up until a month ago when I decided to get some Crucial 6400 to replace the above.
