main difference is the chipset & what that means in the scheme of things.
IP35 Pro has P35 chipset which means that the 2nd physical x16 only runs at x4 electrically.
On the IX38 it has the X38 chipset & it has 2 x16 physical & electrical slots plus another x16 physical but x4 elctrical PCI-E slot.
IP35 Pro has a 2nd LAN that the IX38 doesn't have but the IX38 has a more sophisticated PWM design so less Vdroop.
The IP35 Pro being ~6 months old is a pretty well known beast whereas the IX38 is about the same no. of weeks old & currently the BIOS is a bit immature as a result.
Either should be able to do your intended overclock no problem but if you run into problems you'll get more help on the Pro simply because more people have them.
Imo if you don't need the 2nd x16 electrical PCI-E slot for running high end Crossfire I would say save the money & get the Pro.
PC6400 will get you to where you want to go so it's up to you if you want to spend more for PC 8500.
