I would stick with the P35_DS3R, its much more future proof with the P35 chipset, will support the new Intel processors.

See what you can get for the parts your selling then report back and maybe we can get a slightly larger budget

Just a couple of questions regarding my upgrade (which I am going to do tomorrow)

OS - As I am going Intel Core 2 Duo is it worth upgrading to Vista (if so which version 32 bit or 64 bit ?) Or should I just stick with XP Pro ?

PSU - Been advised by Overclockers Sales to go with a 600w based on Core 2 Duo and GeForce 8800....what PSU do other people run using similar spec

Depends if your gaming, might be worth sticking with XP Pro if you want not take a slight performance hit.

Intel Core 2 Duo \ Geforce 8800 \ 2GB Ram with Vista 64 bit

or

Intel Core 2 Duo \ Geforce 8800 \ 2GB Ram with XP Pro
