Possible upgrade, thoughts?

Hi.
Im thinking of doing a 'big' upgrade over the summer, involving the parts below (or equal to).
The aim of the upgrade is to give me a nice boost in multi-tasking, with an eye to the future, and light gaming, until the next round of gfx cards is upon us anyway. :p
The second use will be to drive my HDTV as well as my two monitors, for MCE usage. :).
Another requirement is for it to be quieter than my existing system.

What do you lot think of this thus far:
- Xeon 3200 (quad core) @ £287.86
- 2x 2Gb (2x1Gb) GeIL Value DDR2 PC6400 @ £64.61 each, £129.22 total.
- Powercolor Silent X1950XT 512Mb @ £146.86
- Auzentech X-Fi @ £119.84
- Samsung 500Gb @ £69.31
- Antec P182 Black @ £82.24
- Zalman 9700 HSF @ £41.11

Total of £876.44

Other parts to buy:
£150 for a P35 based mobo.
£100 for a PSU.
£50 for two DVDRW drives.

Total2 of £1176.44


Existing parts to add:
- 2x Samsung 250Gb HDDs.
- 1x Hitachi 250Gb HDD.
- X800XL to drive HDTV.


Few questions:
- Will the above, combined specs, be good enough for what i want to do?
- Any changes/suggestions?
- Whats a good P35 based board to use?
- Is the Auzentech worth it over the integrated audio?(thought of based on future Dolby encoding abilities as well as existing X-Fi stuff).
- Will the Xeon work in a P35 mobo, as i cant find any info on the matter anywhere?

Should be ok, change the ram for 4gb (2gb*2) kit though, gskill, mushkin, etc.
Try to stretch to an 8800gts 320mb if you possibly can
PSU, cant go wrong with the corsair HX620w

No, it is the same as an xfi, rebadged. Uses the same drivers etc.

Yes, there is even an overclocking thread on the matter, I have one at 3.4ghz in my asus p5k deluxe.

Few notes.
Why should i spend the extra on a 8800 when i dont plan to do heavy gaming?
My choice of the X1950 was only so i could use my existing X800XL as well without bother; also allowing me a good performance increase as well for a few games i have that are chugging atm.

Doesnt the Auzentech have different drivers (in the future)?
Considering they are promicing to use all that power in the X-Fi chip to do DDL encoding? Something which the standard Creative drivers dont do?

2x 2Gb RAM is better for future upgrades, but unless im looking at the wrong prices, far more pricey as well?

Also, why have one of you spec'ed a 620W and the other a 520W?
The 520W would be a waste for me to get as i already have a Antec NeoHE 500W. (Would that not be upto the challenge?).
Is there a good Antec thats upto the job? I'd prefer to stick with makes that ive found good in the past tbh.

For a mobo, the suggested GB one looks nice with the DDR2 & DDR3 support, but it doesnt have dual PCI-E x16 slots, which is a must for me.
I was looking at the Abit IP35 Pro, as Abit have allways been solid for me.
