Problem upgrading XP Prof to another edition

Problem upgrading XP Prof to another edition of Prof
When trying to upgrade to another edition I get the message:
An error occurred copying file vaxscsi.sys to
D:\$WIN-NT$.~BT\vaxscsi.sys
This process cannot access the file because its being used by another process
Any ideas?
