Small transcoding machine

With now having a PS3 in the house, hooked up to my PC for streaming, but I want to move the streaming/transcoding off my machine onto another.

Im after fairly cheap, very small spec that will happily transcode 720p and 1080p files, and have gigabyte Ethernet connection

Any suggestions appricated, I dont need a HDD as I will have that, just case, mobo, psu, ram I guess is all I need
