upgrade cpu mobo and memory for £350 quid

running an old intel 3.0 with 4400 ram and AGP..


Looking to change then cpu and mobo and ram, whats best atm for the 350 limit? opteron of some type? of course i will have to change the gfx card and ram i know... pci next step.

Any reccomendations welcomed.... (oh yeah water cooling kit already fitted so i can use that also)

mobo ready for AGP but can be upgraded to PCIe and is currently Socket 939 but you can get an adapter to let it take AM2 chips (not sure how this works with the memory though:confused:)
