W7 ultimate 64 bit: Kernel power ID41 error

Anyone got any suggestions? :|
Machine was/is fine on XP boot, thought it could be the GPU playing up as it would restart instantly when loading furmark, but it happens on media player too, and with a different GPU.
Tested the RAM its fine, crashes with 1gb installed,2gb,3gb,4gb and in/with any combo of the sticks . and i doubt all 4 sticks failed at once.
People are telling me it could be the PSU, but its fine on XP ? :/

forgot to mention, W7 was fine for ~ 3 weeks untill this started happening, and now it persists even with a format and clean install.
Additionally, W7 runs fine for hours in safemode.
