Do you have any information about the System you intend to use this in?

However at a guess the 5400 will be ok for most non overclocked systems.

system would be abit ip35 of some sort with a q6600 powering it. Will run vista eventually but for the moment it's xp.

With your system even if you were clocking the PC2-5400 would do.

But as Cob said the extra fiver is worth it for the PC2-6400 as there would be greater FSB head room especially if you decide to overclock.
Plus if you decide to upgrade to Penryn/Yorkfield the higher FSB yould be an advantage.
