Worth the change to better mobo?

I currently have a Asus P8Z68-v-lx and looking to change to a MSI Z77A-G43-GAMING motherboard and adding a cooling radiator.

Is the upgrade going to be worth it - although my current board being rubbish and a budget board I've had a stable 4.4ghz overclock on my i5 2500k for over a year now.

What other benefits would I get from the better board?

In terms of money than no its not worth it.

Sounds to me like it is not worth it unless there were some specific motherboard features you were after.

I'm thinking it's probably a wise choice to leave it, although upgrading the cpu cooler to a water unit instead of a thermalright ultra-120 extreme with push/pull 120mm?
