im thinking of buying xp

think is its an upgrade. how will this be installed? i already have xp installed but i need to format my HDD but have lost the disk. so if i install this upgrade over the top will it act like a reformat? or is it an os in its own that i can install after a format? or do i need to buy a normal xp disk? thanks
