They are both pretty easy to use. Although, i can't get the overclock on either of them to "stick" on my 8800GTX. Anyway, with Rivatuner, click on "Customize" under the "Driver settings" section on the "Main" tab and select "System settings". Then all you have to do is move the "Core clock" and "Memory clock" sliders over to the right, hit apply. If you want to, after you've hit apply, click on the save button in the "Overclocking profile settings" and name your new overclock so you can quickly select it at any time in the future. You can also tick the "Apply overclocking at Windows startup" box and then hit the save button to the right of it. This
should make your overclock "stick" when windows loads (bear in mind that you have to make Rivatuner startup during bootup), however it never works on my system. I think it's because, what ever i do, Vista blocks Rivatuner from automatically starting up properly when Windows boots.
With ATI tool, click on the "Settings" button, and then tick the "Apply clock immediately after moving slider" box. Well, actually, it's up to you but i find it easy this way. Then, in the main window, just increase the "Core" and "Memory" sliders in the "3D perf." section on the right. and you're done! However, with ATI tool, i don't think it's possible to make the overclock "stick", so it has to be applied manually or with use of a profile once you're in Windows.
Whichever utility you use, make sure you run the "Scan for Artifacts" feature in ATI tool to ensure your card is stable at the overclocked settings. I also advise you to increase your fan speed in Rivatuner because, otherwise, you'll probably find your card getting pretty hot. I usually have mine around 70-80%.
If you'd like, you can click on "Find Max Core" and "Find Max Mem" in ATI tool to find your card's optimum settings for you. However, i've found that it increases the clocks too far and, everytime i use it, it either bluescreens or reboots because the clocks are too high. May i suggest, if you do go this route, set an appropriate "clock safety range" in the "Settings" window because ATI tool might just keep increasing the clocks and damage your card; that is, if it doesn't reboot itself before hand.
