my setup was 5 pound difference with ddr3, you cannot beat that on a ddr2 system for 5 pound the fiver for ddr3 it worth it.
i'd go with the x4 620 setup that lemzip suggested, the 785g's onboard gfx are decent unless your gaming (which you have already said is not what its for) and as new software is already getting optimized for multiple cores the x4 will out perform the phenom x2's in most things.

You will notice a speed increase from dual - quad.
But almost nothing going from ddr - ddr3
