They have a signed contract saying Elon Musk owes them $44B in exchange for their gossip platform and sucks to be Elon if he decided due diligence wasn't necessary before signing.

Not necessarily, there was an agreement in place with clauses, Musk claims Twitter has breached these clauses, Twitter will no doubt claim they didn't, so it will go to court.
