Not necessarily, there was an agreement in place with clauses, Musk claims Twitter has breached these clauses, Twitter will no doubt claim they didn't, so it will go to court.

Of course it will go to court, that was inevitable. But it still won't end up with Musk buying Twitter. He couldn't raise the initial sum he offered, so he looked for a way to bargain the price down, now he's trying to pull out entirely and dodge the penalty fee. He still can't provide any evidence to support his claim about the number of bots.
Musk bit off more than he could chew, and now he's the one being eaten.
