I would try the 360 with literally nothing else surrounding either the console or power brick, and with both on a flat surface, to eliminate any possible overheating problems first.
Send it back. I did with mine and have not had a single problem since (touchwood). It's as it should be.
I doubt it's a heat issue...i'm sure there's something more sinister going on with the first batch of 360s. The number being returned is pretty darn high.
Is there no chance it could be the game?

I have a 2nd copy of COD2 here that I bought from Game (I bought it first, then bought a cheaper copy at Tesco). So I could try it out.. would mean breaking the shrink wrap though
leave the dashboard on and running for a while the console will be warm but not hot from stress from playing a game. Let it warm up for a while then try, i left mine in my room for a few hrs as it was freezing when i got it.
