Messi doesn't have the work rate that Rooney has, sorry but anyone who isn't biased would agree on that one.
I'd agree with that. Messi does work very hard indeed, but I can't think of many footballers anywhere in the world who can match Rooney for desire and workrate.
The differences between the two players are subtle, but significant. Rooney is better in the air, Messi is better on the deck. Rooney is stronger, Messi has better control. Rooney has a better workrate, Messi is a better dribbler. Rooney is more effective at winning the ball back, Messi is better at picking a pass out. Both are capable of scoring incredible goals, but for me the main difference is that Messi can do it on his own. Rooney tends to need other players around him (like virtually all strikers, this is no sleight on Rooney), whereas Messi often doesn't. The amount of times Messi has collected the ball on the wing, dribbled past a few players and then scored bares this out. Rooney doesn't do this as much, instead putting away the pass/crosses from his teammates. That's what separates the two of them IMO.
As for Man Utd against Barca, it would be very interesting. Man Utd would need Fletcher to be playing as his workrate would be needed to try and nullify Xavi and Iniesta (if that's possible). Vidic should be able to take care of Ibrahimovic. The key battle would be Evra against Messi. Keep Messi quiet, and they'll win the game.
