To qualify for an Upgrade license, you need to have a previous legitimate copy of an OEM or a Retail license of either Windows XP or Windows Vista. If you do not follow these licensing terms, you will not be correctly licensed. However, that doesn't mean to say if you bought a Windows 7 Upgrade but have no intention of following the licensing terms of the Upgrade license, you won't be able to physically install it on your system.
